Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Eclipse Direct (“Eclipse Direct,” “we,” “us,” or “our”) and govern your use of the Eclipse Direct mobile app and the website at eclipsedirect.app (together, the “Service”). Eclipse Direct is a direct-to-fan music platform where artists share music, videos, and merchandise and fans discover, follow, and purchase directly from them. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Zero tolerance for objectionable content and abusive behavior. Eclipse Direct has no tolerance for objectionable, abusive, or illegal content or for users who harass or abuse others. By using the Service you agree not to post such content or engage in such behavior. We act on reports of objectionable content and may remove content and suspend or terminate offending accounts — see Section 5.

1. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with the involvement and consent of a parent or legal guardian. By using the Service, you represent that you meet these requirements and that you are able to enter into a binding agreement.

2. Your Account

You are responsible for the information you provide, for keeping your login credentials secure, and for all activity that occurs under your account. Notify us promptly at the email below if you suspect any unauthorized use. You may delete your account at any time from Settings → Delete Account in the app.

3. License to Use the Service

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, and revocable license to download and use the app and to access the Service for your own non-commercial use, except that artists may use the Service to distribute and sell their own content and merchandise. This license does not transfer any ownership in the Service to you. You may not copy, modify, reverse engineer, resell, or create derivative works of the Service except as permitted by law.

4. Your Content

“Your Content” means anything you create, upload, or share through the Service — including music, audio, photos, videos, short videos, posts, comments, lyrics, digital booklets, profile details, and messages.

5. Acceptable Use — Zero-Tolerance Policy

Eclipse Direct is committed to a safe community. You agree that you will not post, upload, share, or transmit any content, and will not engage in any conduct, that:

There is no tolerance for objectionable content or abusive users. We may, in our sole discretion and without prior notice, remove or hide content, limit features, and suspend or permanently terminate accounts that violate this policy.

7. Purchases, Payments & Payouts

Some features let you buy music, merchandise, subscriptions, or other items. Prices are shown before you confirm a purchase. Payments are processed by Stripe, and physical merchandise is produced and shipped by Printful. Digital purchases (such as downloads and subscriber access) are generally non-refundable except where required by law or stated otherwise. Artists who sell through the Service are responsible for their offerings and for providing accurate descriptions; payouts are made through Stripe subject to identity verification.

Platform fee and artist payouts

When an artist makes a sale through the Service, Eclipse Direct retains a platform fee and the artist receives the remainder. On the web and Android, the fee is based on the artist’s subscriber count at the time of the sale:

Purchases made inside our iOS app are processed by Apple, which takes its own commission (currently 15%) before we receive any funds. Eclipse Direct then retains a flat 10% platform fee on what remains, and the artist receives the rest.

Payment processing fees charged by Stripe are separate from our platform fee and are deducted from the proceeds of each sale. Artists can view their current rate, earnings, and fees at any time on the Earnings & Payouts screen in the app. Balances accumulate until the artist requests a payout, which is sent to the bank account they connect through Stripe. We may change our platform fee, and if we do we will give artists advance notice through the app or by email before the new rate applies to future sales.

8. Intellectual Property & Copyright Policy

The Service itself — including its software, design, branding, and the “Eclipse Direct” name and logo — is owned by Eclipse Direct and protected by intellectual property laws. Content made available by artists and other users belongs to them. You may not use our or others’ intellectual property without permission.

Reporting copyright infringement

Eclipse Direct respects the rights of artists, songwriters, labels, and publishers, and responds to copyright complaints consistent with the Digital Millennium Copyright Act (DMCA). If you believe content on the Service infringes your copyright, send a notice to our copyright contact at [email protected] (subject line “Copyright Notice”) including:

Takedowns and counter-notices

Upon receiving a copyright notice, we may remove or disable access to the identified material — in our sole discretion and without liability to the uploader — and will make a reasonable effort to notify the uploader, including by sharing the substance of the notice. If you believe your content was removed by mistake or misidentification, you may send us a counter-notice containing your contact information, identification of the removed material and its prior location, a statement under penalty of perjury of your good-faith belief that the removal was a mistake, your consent to the jurisdiction of the federal courts in your district (or, if outside the United States, the district where Eclipse Direct is located), and your signature. We may restore material in response to a valid counter-notice unless the original claimant informs us it has filed a court action within the statutory period.

Repeat infringers

We will terminate the accounts of users who are determined to be repeat infringers, and we may suspend or terminate any account after even a single infringement where the circumstances warrant it. Earnings attributable to infringing content may be withheld or reversed, and knowingly submitting false claims of ownership to sell someone else’s music is grounds for immediate termination.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time if you violate these Terms or if we reasonably believe your use may harm Eclipse Direct, other users, or third parties. Provisions that by their nature should survive termination — such as content licenses already granted to purchasers, intellectual-property terms, indemnification obligations, disclaimers, and limitations of liability — will survive.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that content shared by other users is accurate or appropriate.

11. Limitation of Liability

To the fullest extent permitted by law, Eclipse Direct will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or US $100.

12. Indemnification

You agree to defend, indemnify, and hold harmless Eclipse Direct and its owners, employees, and agents from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Your Content, including any claim by a record label, publisher, artist, or other rights holder that Your Content infringes or misappropriates their copyright, trademark, right of publicity, or other rights; (b) your use of the Service; (c) your sale of music, merchandise, or subscriptions through the Service; or (d) your violation of these Terms or of any law. We may participate in the defense of any such claim with counsel of our choosing, and you agree to cooperate with us. You may not settle any claim that imposes obligations on Eclipse Direct without our written consent. This obligation survives termination of your account.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.

14. Governing Law

These Terms are governed by the laws of the United States and the State of New York, without regard to conflict-of-laws principles. Any disputes will be resolved in the courts located in New York, unless applicable law requires otherwise.
